Membership Criteria

The primary and secondary criteria, listed below, should be utilized consistently to evaluate present board members and to guide the selection of future board members. However, pursuit of the secondary criteria should never compromise the primary criteria. The primary and secondary criteria for board membership selection should be updated on an annual basis.

Primary Criteria:

  • The professional and/or community knowledge, expertise, and experience required to make a substantive contribution to the work of the board. (For example, depending upon the strategic priorities of the system, specific competencies in human resources, finance, healthcare, marketing, information technology and affiliations would help.)
  • Demonstrated leadership qualities and a genuine passionate support for the organization's mission.
  • The ability and willingness to commit the time required and be held accountable for active participation on the board and, at least, two board committees and/or task forces. Board and committee members who are unable to meet the agreed upon performance expectations should be asked to resign.

Secondary Criteria:

  • Representation from communities throughout the region served by the organization.
  • Good representation of board members with strong business, financial expertise, and large business experience.
  • Approximately 30% of the Board should consist of active members of the affiliated medical staff. Within the expanded 14-member board, there should be four physician members, one of whom is the elected Chief of Staff. Physicians (voting board members, as well as others) should also serve as members of all Board committees.
  • Representation of the diversity within the communities served by the organization including age, gender, ethnicity, and race.
  • Personal qualities such as: an effective communicator, objectivity, a willingness to speak out and challenge others, a positive attitude, and skills as a consensus builder.
